Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites and services provided by Velosify AI, Inc. ("Velosify," "we," "us," or "our"), including our marketing website at velosify.ai, our customer relationship management application at crm.velosify.ai (the "CRM"), and any related services and content (collectively, the "Services"). By creating an account, providing payment information, or otherwise using the Services, you agree to be bound by these Terms.

⟩ Services

Velosify offers two categories of Services:

• Subscription Services — access to our hosted CRM application and related features, billed on a recurring basis.
• Project Services — web design, graphic design, calendar integration, marketing strategy, AI voice agent setup, and similar engagements scoped through a separate service proposal or statement of work.

These Terms govern both. Where a separate signed proposal or statement of work conflicts with these Terms, the signed document controls for that engagement.

⟩ Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use our Services. By using our Services, you represent that you meet these requirements.

⟩ Accounts & Access

To use the CRM you must create an account. You are responsible for: (a) the accuracy of the information you provide, (b) keeping your password confidential, and (c) all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

⟩ Subscriptions and Recurring Payments

The CRM is offered as a paid subscription. The following terms apply to all CRM subscriptions:

• Pricing. The current subscription price is $49 USD per month, billed in advance each month. Prices are exclusive of any applicable taxes, which you are responsible for paying.
• Payment processor. All payments are processed by Stripe, Inc. By providing a payment method, you authorize Velosify and Stripe to charge that payment method on a recurring basis according to these Terms.
• Card verification. When you add a card, we may temporarily authorize a charge of one U.S. dollar ($1.00) to verify the card. This authorization is refunded immediately and is not part of your subscription.
• Free trial. Eligible new accounts include a 7-day free trial. Your subscription begins automatically when the trial ends, and your payment method on file will be charged the then-current monthly fee unless you cancel before the trial ends.
• Auto-renewal. Your subscription automatically renews each month, on the same calendar date as your initial paid charge, until you cancel. By subscribing, you expressly agree to recurring monthly charges until you cancel.
• Cancellation. You may cancel at any time from Settings → Billing inside the CRM, or by emailing [email protected]. Cancellation stops future renewals; you keep access through the end of the current billing period.
• Failed payments. If your payment method fails, we may retry the charge and/or suspend your account until the balance is resolved. Repeated payment failures may result in cancellation.
• Price changes. We may change subscription pricing with at least 30 days' notice by email. Continued use after the new price takes effect constitutes acceptance.

⟩ Refund Policy

Velosify CRM offers a 7-day free trial so you can evaluate the service before any charges are made. Once your subscription begins, charges are non-refundable. You may cancel at any time from Settings → Billing; cancellation stops future charges and you keep access through the end of the current billing period.

We will consider refunds on a case-by-case basis only in the following situations:

• The CRM was unavailable for more than 24 consecutive hours due to our error during a billing period;
• You were charged after cancellation and our records confirm the cancellation was submitted before the renewal date;
• You were charged twice for the same billing period due to a billing error.

To request a refund under one of the circumstances above, email [email protected] within 30 days of the charge. Refunds, when granted, are issued to the original payment method through Stripe and may take 5–10 business days to appear on your statement.

For Project Services billed under a separate proposal, refund terms are governed by that proposal. If the proposal is silent, refunds are evaluated case by case: a full refund may be issued if work has not begun, and partial refunds may apply for work in progress.

⟩ Customer Data & Ownership

You retain all right, title, and interest in the data, content, and materials you upload to the CRM, including contact, company, deal, and activity records ("Customer Data"). You grant Velosify a limited, non-exclusive license to host, store, transmit, display, and process Customer Data solely as necessary to provide the Services to you. We act as a data processor for Customer Data; you are the data controller.

You can export your Customer Data at any time through the CSV export feature in the CRM. After cancellation we retain your account and Customer Data for 90 days to allow you to recover your account or export your data, after which it is permanently deleted unless we are legally required to retain it.

⟩ Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose, or in violation of any applicable law or regulation, including telecommunications, anti-spam, and consumer-protection laws (such as the U.S. CAN-SPAM Act and TCPA, and Canada's CASL);
• Send unsolicited commercial communications, including SMS or voice calls, without the recipient's prior express written consent;
• Upload, store, or transmit content that is unlawful, defamatory, fraudulent, infringing, or harmful;
• Attempt to access another user's account or Customer Data, or interfere with the security of the Services;
• Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by law;
• Resell, sublicense, or repackage the Services without our written permission;
• Use the Services to compete with Velosify or to build a substantially similar product.

We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.

⟩ Intellectual Property

Velosify and its licensors retain all right, title, and interest in and to the Services, including all software, designs, trademarks, branding, documentation, and underlying technology. Except for the limited rights granted to you in these Terms, no other rights are granted, by implication or otherwise.

For Project Services, you own the final deliverables created specifically for you (websites, designs, configurations) upon full payment. We retain ownership of any pre-existing tools, frameworks, templates, and methodologies used in delivering those deliverables. We may display completed work in our portfolio unless you request otherwise in writing.

⟩ Service Availability

We strive to make the Services available with high reliability but do not guarantee uninterrupted operation. We may schedule maintenance windows, deploy updates, or experience outages caused by third-party providers (e.g., Stripe, Railway, Cloudflare). We will use commercially reasonable efforts to minimize disruption.

⟩ Disclaimer of Warranties

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Velosify disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or trade usage. We do not guarantee that the Services will be error-free, secure, or that any specific business result will be achieved through their use.

⟩ Limitation of Liability

To the maximum extent permitted by law, Velosify and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of revenue, profits, data, goodwill, or business opportunities, arising out of or related to your use of the Services. Our total aggregate liability for any claim arising out of or related to these Terms or the Services shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid Velosify in the twelve (12) months preceding the event giving rise to the claim.

⟩ Indemnification

You agree to defend, indemnify, and hold harmless Velosify and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) Customer Data you upload, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

⟩ Termination

You may terminate your subscription at any time as described in the Subscriptions and Recurring Payments section. We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms, fail to pay amounts owed, or pose a security or legal risk. Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

⟩ Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. You agree that any claim must be brought within one (1) year of when it arose, after which it is permanently barred.

⟩ Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page with a revised "Last updated" date and, where appropriate, by emailing the address on file for your account. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

⟩ Miscellaneous

These Terms constitute the entire agreement between you and Velosify with respect to the Services and supersede any prior agreements (other than a signed proposal or statement of work, which controls for the engagement it covers). If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
