These Terms of Service ("Terms") govern your access to and use of Velosify CRM ("Service"), operated by Velosify AI, Inc. ("Velosify", "we", "us"). By creating an account or using the Service, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract. By creating an account, you represent that the information you provide is accurate and current.
2. Your account
You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorized access.
3. Subscription and payment
- Your subscription begins at $49 USD per month, billed via Stripe immediately on signup and on the same date each month thereafter.
- Subscription renews automatically each month until cancelled.
- You can manage your subscription, update your card, or cancel at any time from the in-app Billing portal or via the Stripe Customer Portal link.
- All fees are non-refundable except where required by law or as set out in our Refund Policy.
- Prices may change with at least 30 days' notice by email. Changes apply to your next renewal.
4. Acceptable use
You agree not to:
- Use the Service to send spam, unsolicited messages, or content that violates anti-spam laws (CAN-SPAM, GDPR, CASL, TCPA, etc.).
- Upload or process personal data of EU/UK residents without a valid lawful basis.
- Use the Service to harvest contact data in violation of any third-party platform's terms.
- Attempt to reverse-engineer, decompile, or interfere with the Service.
- Probe, scan, or test the vulnerability of the Service or its infrastructure without prior written permission.
- Use the Service to store or transmit unlawful, infringing, defamatory, obscene, or harmful content.
- Resell, sublicense, or white-label the Service without a separate written agreement.
We may suspend or terminate accounts that violate these rules.
5. Your content
You retain all rights to the data you upload, import, or generate in the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to deliver the Service. You are solely responsible for the lawfulness of Customer Data, including obtaining any required consents from your contacts.
6. Our intellectual property
The Service — including software, design, branding, and documentation — is owned by Velosify and protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable license to use the Service per these Terms.
7. Third-party services
The Service integrates with third parties (Stripe, Twilio, Google, Meta, etc.). Your use of those services is governed by their own terms. We are not responsible for third-party services or any data you choose to share with them.
8. Termination
You may cancel your subscription at any time; access continues until the end of the current billing period. We may suspend or terminate your account for breach of these Terms, non-payment, or activity that risks harm to the Service or other users. On termination we delete your data per our Privacy Policy.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that lead data, phone-type lookups, or any third-party data we surface will be accurate, current, or complete.
10. Limitation of liability
To the maximum extent permitted by law, Velosify will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption. Our total aggregate liability for any claim is limited to the amounts you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold Velosify harmless from any claims arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.
12. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
